CODE ORANGE SWEEPSTAKES OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN

1.            Sweepstakes Period: The Children's Motrin Sweepstakes (the "Sweepstakes") begins 12:00 a.m. Eastern Time ("ET") on October 8, 2007 and ends 11:59 p.m. ET on December 30, 2007, (the "Sweepstakes Period").

2.            Eligibility:Open to legal residents of the 50 United States, District of Columbia and Puerto Rico, 18 years of age or older or the age of legal majority in your state as of the date of entry, and who have a child under 18 years of age at the time of entry. Employees of McNeil Consumer Healthcare, Division of McNeil PPC, Inc. ("Sponsor"), Edelman, Seismicom, Inc., and any of their affiliates, shareholders, directors, agents, parents or subsidiaries, respective parent, subsidiary, and affiliate companies and advertising and promotion agencies, and members of their immediate families (spouses, parents, children, and siblings and their spouses) and/or those living in the same household of each are not eligible. Void where prohibited by law and subject to all federal, state and local laws.

3.             How to Enter: No purchase necessary.  To enter go to www.gather.com during the Sweepstakes Period and click on the "Join Today - It's Free!" link. You must create a user profile that contains your full, legal name, your hometown and a valid e-mail address. Then you must join the Code Orange group (codeorange.gather.com) and participate in the weekly parenting discussions (by providing comments/feedback as indicated) in order to be entered for the chance to win that respective week's prize only. Or, on a plain piece of 3"x5" paper, hand print your name, complete address (no P.O. Boxes), zip code, phone number and date of birth. Mail your entry in a hand-addressed stamped envelope to: Children's Motrin Sweepstakes, P.O. Box 7884, Melville, NY 11775-7884. Limit one entry per envelope. Mechanically reproduced mailed entries not accepted. All mailed entries must be mailed separately.  Entries will not be carried forward for subsequent week's random drawings, if any. Weeks will start 12:00 a.m. ET on Mondays and end 11:59 p.m. ET on Sundays. All information collected on Gather.com will be subject to Gather's privacy policy at http://www.gather.com/privacy.jsp. Limit one entry per person/email address per week. Normal Internet access, phone/usage charges imposed by your on-line/phone service will apply. All entries become property of the Sponsor. All eligible online entries must be received by 11:59 p.m. ET on December 30, 2007.  All mail-in entries must be postmarked by the end of each respective week and received within seven (7) days.  Eligible entries via gather.com and mail will be combined each drawing.

4.             Random Drawings: Each week, on or about the following Tuesday after each mail-in received by deadline date (from October 22, 2007 through January 7, 2008), a random drawing will be conducted from among all eligible online and mail-in entries to determine that respective week's winner. Random Drawings will be conducted by an independent judging organization, whose decisions are final in all matters relating to the Sweepstakes. Return of prize or prize notification as undeliverable will result in disqualification and an alternate winner will be selected. Odds of winning a prize depend on the total number of eligible entries received by each weekly deadline. All prizes will be awarded provided a sufficient number of eligible entries are received.

5.            Prizes and Approximate Retail Value ("ARV"): Week 1 - (10): Orange iPod Shuffle (ARV $79 each); Week 2 - (5): Children's cell phone with 1 year of service for your child (ARV $595 each); Week 3 - (50): Orange Thermometer (ARV $6.75 each); Week 4 - (15): Orange iPod Shuffle (ARV $79 each); Week 5 - (50): Code Orange Mousepad (ARV $3.95 each); Week 6 - (50): Orange Thermometer (ARV $6.75 each); Week 7 - (5): Children's cell phone with 1 year of service for your child (ARV $595 each); Week 8 - (50): Orange Thermometer (ARV $6.75 each); Week 9 - (25): Orange iPod Shuffle (ARV $79 each); Week 10 - (50): Orange Thermometer (ARV $6.75 each); Week 11 - (50): Code Orange Mousepad (ARV $3.95 each); Week 12 - (25): Orange iPod Shuffle (ARV $79 each). Limit one (1) prize per person/email address. Prizes will be delivered to winners 4-6 weeks after winner selection.

6.            General Rules: No substitution or transfer of prize permitted except at the sole discretion of the Sponsor who reserves the right to substitute a prize of equal or greater value in the event the prize is unavailable. By participating in the Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the judges. Any taxes payable on the prize are the sole responsibility of the winner, if applicable. Sponsor and its Administrators are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any human error which may occur in the processing of the entries in the Sweepstakes. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the game or Web site; violates the official rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Entries generated by script or bot are not eligible. The Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes if it is not capable of running as planned, including, but not limited to, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures or any other problems beyond the control of the Sponsor and award all prizes from among all eligible entries received prior to cancellation. Entrant must have a valid e-mail address. In the event of a dispute regarding the identity of the person submitting an entry form, the entry will be deemed to be submitted by the person in whose name the e-mail account is registered. Sponsor and any of their affiliates, shareholders, directors, agents, parents or subsidiaries, respective parent, subsidiary, and affiliate companies and advertising and promotion agencies, and employees will have no liability or responsibility for any claim arising in connection with participation in the Sweepstakes or any prize awarded. Sponsor makes no warranties with regard to any prize. Winners assume all liability for any injury or damage caused, or claimed to be caused, by participation in the Sweepstakes or use or redemption of any prize. Sponsor is not responsible for any typographical or other error in the printing of the Sweepstakes materials or the offering or announcement of the prizes.

7.            Releases: Acceptance of any prize constitutes permission to use winners' names and likenesses for promotional purposes without further compensation except where prohibited by law. BY ACCEPTING THE PRIZE, THE WINNERS AGREE THAT MCNEIL CONSUMER HEALTHCARE, DIVISION OF MCNEIL PPC, INC., EDELMAN, SEISMISCOM, INC., THEIRRESPECTIVE PARENT, SUBSIDIARIES, AFFILIATED COMPANIES, AGENTS, RETAILERS, ADVERTISING AND PROMOTION AGENCIES, AND ALL OF THEIR RESPECTIVE SHAREHOLDERS, OFFICERS, DIRECTORS, EMPLOYEES AND ASSIGNS, MEMBERS, REPRESENTATIVES AND AGENTS, WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY WINNER FOR ANY LIABILITY FOR ANY INJURY, LOSS OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING DEATH, AND PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE OR PARTICIPATION IN THE SWEEPSTAKES OR PARTICIPATION IN ANY SWEEPSTAKES OR RELATED ACTIVITY.

8.            Winners List: For the first name and last initial of the winners of prizes valued at $25 or more, available after December 31, 2007, visit www.gather.com and click on the Code Orange group.
